1. Scope of Engagement
These Terms of Engagement govern the relationship between Mesomillion Corporate Services Sdn Bhd ("Mesomillion") and any client engaging our corporate secretarial, compliance, or statutory administration services. Specific scope, fees, and deliverables for a given engagement are set out in a signed engagement letter, which takes precedence over this general summary.

2. Client Responsibilities
- Provide accurate, complete, and timely information required to perform statutory and compliance work.
- Promptly notify Mesomillion of changes to directors, shareholders, registered office, or business activities.
- Settle fees in accordance with the agreed engagement letter or fee schedule.
3. Professional Standards
Company secretarial services are performed by, or under the supervision of, individuals holding the relevant practicing licence recognised under the Companies Act 2016. Mesomillion maintains client confidentiality and acts in accordance with applicable professional and regulatory standards.
4. Fees and Disbursements
Fees are quoted in the applicable engagement letter. Statutory filing fees, stamp duty, and other regulator disbursements are payable in addition to professional fees unless otherwise stated.
5. Limitation of Liability
To the extent permitted by law, Mesomillion's liability in connection with any engagement is limited to the professional fees paid for the specific service giving rise to the claim, except in cases of fraud or wilful misconduct.
6. Termination
Either party may terminate an engagement in accordance with the notice period set out in the engagement letter. Mesomillion will support an orderly handover of statutory records to a successor company secretary where required by law.
7. Governing Law
These terms are governed by the laws of Malaysia. Disputes are subject to the exclusive jurisdiction of the Malaysian courts, unless the engagement letter specifies otherwise.
